ALPHA MODUS CLOSES ITS SHARES-FOR-BITCOIN DEAL — NON-U.S. INVESTORS HAND OVER 3,170 BTC FOR 51.6 MILLION SHARES AND AS MANY WARRANTS AT $4.36 — THE COINS GO TO A SINGAPORE SUBSIDIARY FORMED FOR THE DEAL — THE FILING NAMES NO CUSTODIAN

Alpha Modus Holdings filed an 8-K on October 1, 2026. On September 30 it closed the deal it announced in August: investors outside the U.S. delivered 3,170 bitcoin and received 51,621,560 new Class A shares, plus warrants to buy as many more at $4.36. The coins went "to the custody and control of a newly-formed, wholly-owned subsidiary," AMOD Tech Pte. Ltd., a Singapore company.

The August terms, as CryptoSlate reported them, valued the coins at $71,000 each. That is $225,070,000, which is the warrant count times $4.36 almost to the dollar: the shares were priced off a $71,000 bitcoin. The closing filing uses $83,612.20 a coin and calls the stack "in excess of $250 million." At that price it is $265,050,674, about $5.13 per new share. CryptoSlate put the company at about 4.99 million shares before the deal, so the new holders own roughly nine of every ten.

The deal is also a listing fix. Nasdaq told the company in April that it missed the net income, market value and equity tests. The 8-K says stockholders' equity is now "well in excess of $200 million" and the company "has therefore regained compliance." Nasdaq says it will keep watching.

The filing says which company controls the coins, a Singapore subsidiary. It does not say who holds the keys, whether a custodian signs for them, or how many people it takes to move them. A shareholder here owns a claim on a company that owns a company that controls the bitcoin. Until the keys are described, that is the whole of what they own. At the time of this writing, bitcoin was $84,292.
