ICE owns the New York Stock Exchange. On Monday it agreed to license tZERO’s blockchain patents — 23 families, 103 patents — and to put money into tZERO’s current fundraise. The amount is not disclosed. Read what the patents actually cover and the deal explains itself. First on the list: “compliance-aware transfer logic.” That is code that decides whether your transfer is allowed to happen. Next: “upgradeable smart-contract frameworks” — the rules can be rewritten after you already own the thing. Then: “scalable corporate-action handling” — somebody can reach in and split it, merge it, or cancel it. None of that is a complaint. A share of stock is a promise a company made, and a promise needs someone standing behind it who can be reached. Transfer agents exist for a reason. The mistake is calling it the same invention. Bitcoin’s one trick is that there is nobody to ask. Not that the answer is no — that the question has no address. ICE just spent money on 103 patents describing, in very careful language, how to be the address. And look at what is actually firm here. The patent licence is real and the cheque is real. Everything else is “intended to support,” “will also evaluate,” “expected to be designated,” “subject to the satisfaction of applicable regulatory, technology, and operational requirements.” ICE bought an option and a shield. tZERO got the New York Stock Exchange’s name on an open raise. Nobody has to ship anything.
