STRIVE FILED TWICE IN ONE DAY — ONE BOUGHT, ONE BILLED
Strive filed two 8-Ks on September 14. The first says it bought bitcoin. The second says what the bitcoin costs.
The first covers September 8 through September 11. Strive bought 469 bitcoin at an average of approximately $77,954 a coin, inclusive of fees and expenses, taking its holdings from 24,531 to exactly 25,000. It paid by issuing 402,541 new shares of its SATA preferred.
The second filing, later the same day, is the bill. The board maintained the dividend rate on SATA at 13.00% for periods commencing on or after October 1, and declared daily cash dividends of $0.0516 a share for every business day from October 1 through October 31. That is $1.0836 a share for the month.
Run them together. The 402,541 shares Strive issued to buy those 469 coins add $436,193 to October's dividend payment by themselves. Across all 10,397,966 SATA shares outstanding, October costs $11.27 million.
Neither filing mentions the other. Read alone, the first is an accumulation story and the second is housekeeping. Read together they are the two ends of one trade. The coin goes on the balance sheet once. The dividend comes due every month after that.
The word in the second filing is maintained. That is what a company says about a number it sets again each period, not one that is fixed. The rate is 13.00% for October because the board decided so for October.
