STRATEGY’S CFO IS OUT NOV. 5 — THE CEO TAKES OVER THE BITCOIN FINANCES AND SIGNS FOR THEM — THE PLAN STAYS SAYLOR’S

Strategy’s CFO, Andrew Kang, told the company on October 26, 2026 that he’s leaving, and his last day in the job is November 5. The 8-K filed at 4:03 PM ET on October 29 says it’s “due to personal reasons and not the result of any disagreement.” CEO Phong Le covers the finance job through December 31. On January 1, 2027, operations chief Reza Virasteh becomes CFO for the software business, and Le becomes co-principal financial officer for the bitcoin side, “primarily responsible for the financial management of the Company’s bitcoin strategy, including capital markets activity, capital management, and treasury and investor relations.” Kang stays on as an adviser through year-end, then gets a $883,400 lump sum.

The plan isn’t changing hands. When Le became CEO in 2022, the company said Michael Saylor would oversee “the Company’s bitcoin acquisition strategy as head of the Board’s Investments Committee.” Saylor chairs the board and held 35.8% of the voting power on June 30, 2026. On the October 29 call he laid out the credit side himself. He said investors can reasonably expect the company to get STRC back to its $100 par “within 4 months” if it ever falls below. No filing says that.

What changes is who sits between that plan and the numbers. From January 1, the person running the bitcoin side’s stock sales, cash and buybacks is the CEO, and he’s the one who certifies those numbers as a financial officer. The treasurer and the head of investor relations now report straight to him. There will still be two finance signatures. The one for the bitcoin money is the CEO’s. That’s the side that sold $431.8 million of bitcoin in 2026 to pay preferred dividends and buy back STRC.

Kang read the third-quarter numbers on the call, then said, “I will be stepping down as chief financial officer effective November 5th for personal reasons.” About 49 minutes into the stream, near 5:48 PM ET, Saylor said, “we feel like we’re entering a bull market.” Bitcoin was $78,965 on Crypto.com then and $76,500 by 9 PM. Saylor still picks the play. Starting January 1, the CEO keeps the score on it. At the time of this writing, bitcoin was $77,327.
