STRATEGY HOLDERS VOTE FOR DAILY PREFERRED DIVIDENDS — A WEEKEND’S THREE ARE PAID ON MONDAY — BUY ON FRIDAY, NOVEMBER 6 AND YOU GET NONE OF THEM

On October 28, 2026, Strategy told the SEC that “based on preliminary voting results, the requisite vote was obtained” from its common holders to let its four preferred stocks pay a dividend for every calendar day. STRC goes daily on November 1. STRF, STRK and STRD follow on January 1, 2027. Both still depend on Strategy filing the new terms in time, and the filing gives no vote count. If STRC’s terms take effect by 12:01 a.m. Eastern on November 1, the semi-monthly dividend declared September 30 for November 15 is not paid, and thirty daily ones replace it.

Daily on paper. Weekdays in the plumbing. The filing’s own example takes record dates of Friday, November 6, Saturday the 7th and Sunday the 8th. The Depository Trust Company treats all three as Friday, and all three are paid Monday, November 9. Then the line that matters: “an investor who executes a buy order for such shares on Friday, November 6 will not receive any of the three dividends, and an investor who executes a sale transaction for such shares on Friday, November 6 will still receive all three.”

What is at stake on that Friday? Strategy’s October 16 table sets the three at 4 cents, 3 cents and 3 cents, so 10 cents a share. The thirty November payments add to $1.00, which is 12% a year on $100 of face value. They are paid in dollars, not bitcoin, and Strategy expects them to count as a return of capital for tax, not as income.

Strategy says it holds about 848,517 bitcoin. Those coins move and settle at any hour, any day. The paper sold against them will now earn every day but can only change hands on the bank calendar, and the filing tells brokers’ customers to check their own rules. Whoever sells on a Friday keeps the weekend. That is a fact a buyer should know before pressing the button. At the time of this writing, bitcoin was $80,529.
