SUPER LEAGUE HOLDERS APPROVE METAPLANET’S 2,100 BITCOIN — THE SHARES WERE PRICED ON AN AUGUST COIN NEAR $62,900 — THE COMPANY PAID $81,444.82 ON OCTOBER 16
Super League Enterprise holders approved every proposal tied to Metaplanet's deal at the October 16, 2026 annual meeting, per an 8-K filed October 19. The share issuance passed 1,055,621 to 25,314. At closing, which the company expects in the fourth quarter, Metaplanet hands over 2,100 bitcoin and $2.5 million in cash for 44,859,400 shares at $3.00. The company becomes Superplanet, Inc.
Here is who pays. The share count was fixed on bitcoin's Coinbase close at 4:00 p.m. New York time on August 14, 2026, when the 2,100 coins were valued at about $132.1 million. That is about $62,900 a coin. The same 8-K says Super League bought two bitcoin on October 16 at an average of $81,444.82. The share count does not move. If the coins are worth what Super League just paid, Metaplanet is putting in about 29% more than the deal priced, and the people who already own the stock keep the difference.
They still end up small. Metaplanet would own about 95.7% of the common stock under the terms set in August. Its five-year lock-up covers the shares, not the bitcoin. The release names no custodian. It says only that the bitcoin "will arrive in kind." Until then, Super League's 8-Ks show three coins: one bought October 10 at $83,041.40 and two on October 16.
The vote is done. What is left is closing, the Nasdaq filings, and the question no filing answers yet: who holds the keys to 2,100 bitcoin once they land. At the time of this writing, bitcoin was $82,210.
