STRIVE BOUGHT 2,000 BITCOIN FOR ABOUT $169 MILLION — THE 8-K SHOWS 1.3 MILLION NEW SATA SHARES AND 2.1 MILLION WARRANTS TURNED INTO STOCK — IT WANTS PREFERRED ABOVE 60% OF ITS BITCOIN

Strive filed its weekly 8-K on October 5, 2026. From September 28 to October 2 it bought 2,000 bitcoin at about $84,422 each, roughly $169 million, and now holds 29,462. Cash rose from $248.8 million to $284.7 million. It still holds $50.2 million of Strategy's STRC.

The filing shows where the shares came from. SATA preferred went from 12,193,180 shares to 13,498,082, which adds $130.5 million of stated amount at $100 a share. The warrants line fell by 2,100,100 shares as holders turned warrants into Class A common. Matt Cole's post on X puts 61.5% of the capital on SATA and $56.7 million on warrants, which works out to $27.00 per warrant share. The 61.5% is in the post, not the 8-K.

CEBE has already caught up to this filing. It puts Strive's senior claims, net of cash and the STRC, at 40.76% of the bitcoin, and the bitcoin behind each share at 17,290 sats, at a bitcoin price of $84,506. Run CEBE's method on the September 25 numbers at the same price and you get 39.68% and 16,965 sats. Claims went up, and so did the bitcoin behind each share.

What you can check: the share table, and CEBE's math, which reproduces to the sat. What the filing adds: while bitcoin is under $100,000, management wants its amplification ratio, SATA's stated amount against the bitcoin, above 60%. It was 55.3% on September 30. At the time of this writing, bitcoin was $86,069.

CORRECTION · 2026-10-05: An earlier version of this story said Strive’s 8-K does not show what paid for the purchase. It does, in shares: SATA preferred rose 1,304,902 shares and 2,100,100 warrants were exercised. Only the 61.5% split comes from Matt Cole’s post alone.
